Dangote Refinery Completes $2.5bn Private Equity Placement

Dangote Petroleum Refinery and Petrochemicals FZE (DPRP) has announced the successful completion of a landmark US$2.5 billion private equity placement, marking what it described as Africa’s largest publicly disclosed primary equity private placement by value.

In a statement issued on Thursday, the company disclosed that the offering was 3.7 times oversubscribed compared to its initial offer size, reflecting strong investor confidence in the refinery’s long-term growth strategy.

The transaction represents the refinery’s first equity capital raise involving external investors beyond its legacy shareholder base and is expected to strengthen the company’s capital structure while providing additional financial flexibility to support the ongoing expansion of its refinery and petrochemical complex.

According to the company, the equity placement attracted a diverse mix of international and African institutional investors, sovereign-related investment vehicles, development finance institutions and long-standing strategic partners. Among the key participants were Africa Finance Corporation (AFC) and India Infra Buildco, an investment vehicle facilitated by Afreximbank, alongside a broad range of institutional and individual investors.

President and Chief Executive of Dangote Industries Limited and Chairman of DPRP, Aliko Dangote, described the successful transaction as “a strategic step to deepen and further institutionalise the enterprise’s shareholder base while raising capital to complement our internal cash flows and external funding as DPRP advances its expansion agenda.”

He said the development demonstrates the company’s commitment to expanding domestic refining and petrochemical capacity, reducing Africa’s reliance on imported refined petroleum products and strengthening the continent’s energy security.

Also commenting, Managing Director and Chief Executive Officer of Dangote Petroleum Refinery and Petrochemicals, David Bird, attributed the overwhelming investor response to the company’s operational excellence, execution capacity and leadership.

Following the completion of the equity placement, the company said it is well-positioned to continue executing its long-term growth strategy while reinforcing Africa’s energy security through world-class refining and petrochemical capacity. It also acknowledged the support of its professional advisers in delivering the successful transaction.
